CENTRIMARKETS

CENTRI MARKETS TERMS AND CONDITIONS

Last updated: 28 September 2026

Welcome to Centri Markets! We are Centri Markets Ltd, a company registered in the United Kingdom with company number 17300938 ('we', 'our' or 'us'). We operate Centri Markets, a web-based financial intelligence and investor community platform as described on our website at https://www.centrimarkets.com/ (Website) (Platform).

These terms and conditions (Terms) govern access to and use of the Platform, whether you use the Platform as an individual retail user, on behalf of a listed company or other organisation, as a media or research publisher, or in another capacity accepted by us.

Your access to the Platform may be provided through a free or paid account tier. The features, limits, fees, subscription period and renewal terms applying to a particular tier will be those displayed on the Website or otherwise agreed with you when you select that tier (Account Tier).

IMPORTANT: Centri Markets is an information and communications platform. We do not provide investment advice or personal recommendations and we do not execute trades, manage money or arrange investments. The Platform includes third-party market data, regulatory announcements, publisher and issuer content, user-generated content and AI-generated summaries. You should review original source material and make your own independent decisions.

1READING AND ACCEPTING THESE TERMS

(a)

In these Terms, capitalised words and phrases have the meanings given to them where they are followed by bolded brackets or as set out in the Definitions table at the end of these Terms.

(b)

By creating an Account, clicking to accept these Terms, paying for a Paid Account, posting or publishing content, or otherwise accessing or using features of the Platform that require acceptance of these Terms, you agree to be bound by them. If you use the Platform on behalf of an organisation, you also bind that organisation to these Terms.

(c)

If you do not agree to these Terms, you must not create an Account or use the interactive or account-based features of the Platform.

(d)

Our Privacy Policy and any additional terms expressly displayed for a particular Account Tier or feature form part of these Terms. If there is any inconsistency, these Terms prevail unless the additional terms expressly state otherwise.

2ELIGIBILITY

(a)

You must be at least 18 years old to create an Account or use the interactive features of the Platform. By creating or using an Account, you represent and warrant that you are 18 years old or over.

(b)

You must not use the Platform if we have previously suspended or terminated your access, unless we have expressly authorised you to return.

(c)

If you create or use an Account on behalf of a company, employer, publisher, research firm, media organisation or other legal entity (Represented Entity), you represent and warrant that you have authority to bind that Represented Entity to these Terms. In that case, references to you include the Represented Entity where the context requires.

(d)

Certain Market Data may be made available subject to classifications, declarations or restrictions imposed by an exchange, market-data provider or other licensor. You must provide any information, declaration or confirmation reasonably required by us to determine your eligibility to access that Market Data, including whether you use the Market Data in a private, personal, non-professional, professional or commercial capacity.

(e)

Where you declare that you are a private, personal or non-professional user for the purposes of accessing particular Market Data, you represent and warrant that:

(i)

the declaration is accurate and complete;

(ii)

you satisfy the applicable eligibility requirements notified to you;

(iii)

you will use the relevant Market Data only for the purposes permitted by the applicable Account Tier and data-provider requirements; and

(iv)

you will promptly notify us if your circumstances change so that the declaration is no longer accurate.

(f)

Access to particular Market Data, Account Tiers, features or pricing may differ according to your user classification. We may require additional information, restrict or suspend access, move you to a different Account Tier or require payment of additional Fees where reasonably necessary to comply with an exchange or data-provider requirement.

(g)

A classification used for market-data licensing purposes does not determine your regulatory status under financial services law and does not mean that Centri Markets has assessed whether you are a retail client, professional client or eligible counterparty for any other purpose.

3ACCOUNTS AND ACCOUNT TYPES

3.1ACCOUNTS

(a)

To access certain features, you must register for an account (Account). You must provide information that is accurate, complete and current and must promptly update it if it changes.

(b)

You are responsible for keeping your login credentials secure and for all activity carried out through your Account, except to the extent caused by our breach of these Terms or applicable law. You must notify us promptly if you become aware of unauthorised access or a security incident affecting your Account.

(c)

We may refuse an application for an Account, require additional information, or restrict features where reasonably necessary for security, verification, legal, regulatory or operational reasons.

3.2ACCOUNT TYPES

We may make the following Account Types available:

(a)

(Individual Account) an Account used by an individual retail investor or other individual user for their own purposes;

(b)

(Issuer Account) an Account used by or on behalf of a listed company or other issuer to claim or manage an issuer profile and publish authorised issuer content;

(c)

(Publisher Account) an Account used by a media organisation, public relations provider, research firm, investment bank or other content publisher to publish or link content; and

(d)

(Other Accounts) any other account type or access arrangement we make available from time to time.

(e)

The features and restrictions applying to an Account Type may vary by Account Tier and will be displayed on the Platform or Website. We may require verification before enabling particular features.

3.3ACCOUNT TIERS

(a)

An Account Tier may be free or paid and may include limits on posting frequency, analytics, profile features, alerts, access to data or other functionality.

(b)

We may add, remove or change Account Tiers and features in accordance with clause 19. Any changes to fees, minimum terms or renewal arrangements for a Paid Account are dealt with under clause 14.

4THE PLATFORM

4.1SCOPE

(a)

Subject to these Terms and the applicable Account Tier, we grant you a personal, limited, non-exclusive, non-transferable and revocable right to access and use the Platform for its intended purpose.

(b)

Unless we expressly agree otherwise, your Account may only be used by the person or organisation for whom it was created. You must not sell, sublicense, transfer or share access to an Account with another person.

4.2PLATFORM FEATURES

The Platform may include features that allow users to:

(a)

view Market Data, regulatory announcements, company information and other financial information;

(b)

view AI-generated summaries of regulatory announcements and other source material;

(c)

create watchlists and receive email, in-app or other alerts;

(d)

post comments, participate in discussion boards and interact with other users;

(e)

claim and manage verified issuer profiles;

(f)

publish or link media, research or other content; and

(g)

view sponsored content, paid placements or other advertising.

(h)

Features may be introduced, changed, suspended or withdrawn from time to time in accordance with these Terms.

4.3AVAILABILITY AND SUPPORT

(a)

We will use reasonable efforts to make the Platform available, but we do not guarantee uninterrupted or error-free access. Maintenance, updates, third-party outages, exchange or data-provider issues, security incidents and events outside our reasonable control may cause delay or downtime.

(b)

We may provide general support through the contact methods shown on the Website. Unless expressly agreed in writing, we do not guarantee a particular response or resolution time.

4.4THIRD-PARTY SERVICES

(a)

The Platform depends on third-party services, including hosting, market data, regulatory announcement feeds, payment processing, analytics, communications and artificial intelligence services. We do not control those third-party services and their availability or performance may affect the Platform.

(b)

Where a third party requires terms, notices or restrictions to be passed through to users, those requirements may be displayed on the Platform and you must comply with them as a condition of using the relevant feature or data.

(c)

The Platform may contain links to websites, content, research, products or services operated or provided by third parties, including links posted by users, issuers, publishers and research providers.

(d)

A link to a third-party website or resource is provided for information or convenience only unless we expressly state otherwise. The presence of a link on the Platform does not mean that we endorse, approve or adopt the third party, its website, its content, any investment view expressed through it, or any product or service it provides.

(e)

Third-party websites and resources are outside our control and may be changed, removed or become unavailable without notice. Subject to liability that cannot lawfully be excluded, we are not responsible for the availability, accuracy, completeness, legality, security or content of a third-party website or resource, or for any transaction or arrangement you enter into with a third party after following a link from the Platform.

(f)

If you post or provide a link through the Platform, that link forms part of your Posted Material and is subject to clause 8. You must not knowingly or recklessly link to content that would breach these Terms or the Community Guidelines if it were posted directly on the Platform.

(g)

You should exercise appropriate care before following external links, providing personal information to a third party, downloading material or entering into any transaction through a third-party website.

5FINANCIAL INFORMATION AND IMPORTANT DISCLAIMERS

5.1NO INVESTMENT ADVICE OR PERSONAL RECOMMENDATION

(a)

Centri Markets is an information and communications platform. We do not provide investment, financial, legal, tax or other professional advice and we do not provide personal recommendations about any investment or security.

(b)

Centri Markets Ltd is not authorised or regulated by the Financial Conduct Authority. The Platform does not execute trades, hold or manage client money, arrange investments or manage investments.

(c)

Nothing on the Platform is intended to constitute, and should not be treated as, an offer, solicitation, recommendation or endorsement by us to buy, sell, subscribe for or hold any investment, security or financial product.

5.2YOUR INVESTMENT DECISIONS

(a)

You are solely responsible for assessing information made available through the Platform and for deciding whether to seek independent professional advice before acting on it.

(b)

You should conduct your own research and review original source material. You must not rely on the Platform, an AI Summary, a post, an issuer profile, research content, a price alert, a watchlist or any other Platform feature as the sole basis for an investment decision.

(c)

Trading and investment transactions take place outside the Platform. We are not a party to, and do not accept responsibility for, any transaction you enter into with a broker, investment platform, issuer or other third party.

5.3CONTENT FROM DIFFERENT SOURCES

(a)

The Platform contains information and content from different sources. Content may be supplied by data providers, exchanges, issuers, publishers, research providers, advertisers, users or other third parties, or may be generated using artificial intelligence.

(b)

Unless we expressly state otherwise, we do not endorse, verify or adopt third-party or user content merely because it appears on the Platform, appears on a verified profile or is made available through a Platform feature.

(c)

Verification of an Issuer Account or Publisher Account confirms only the verification steps we choose to carry out and does not amount to an endorsement of the relevant organisation, its securities, its services, its content or any investment view.

6MARKET DATA AND REGULATORY ANNOUNCEMENTS

6.1THIRD-PARTY DATA

(a)

The Platform may display prices, trading volumes, market capitalisation, company information, regulatory announcements and other market or financial information obtained from third-party providers (Market Data).

(b)

Market Data may be delayed, incomplete, unavailable, inaccurate or subsequently corrected. Availability may also vary by market, issuer, Account Tier, location or the terms imposed by a data provider or exchange.

(c)

Where the Platform provides a copy, extract, link or summary of a regulatory announcement, the original announcement published through the relevant official disclosure channel remains the authoritative source. You should review the original announcement before relying on its contents.

(d)

We do not warrant that Market Data is suitable for trading, valuation, tax, accounting, regulatory or other professional purposes.

6.2USE RESTRICTIONS

(a)

Your right to use Market Data is limited to the access and use permitted by the Platform and any restrictions notified by us or the relevant data provider. Except where permitted by law or expressly authorised by us, you must not redistribute, resell, scrape, systematically extract, create a competing database from, or commercially exploit Market Data.

(b)

We may restrict or remove access to Market Data immediately where required by a data provider, exchange, law, court order, regulatory requirement or licence condition.

7AI-GENERATED SUMMARIES

(a)

The Platform may use artificial intelligence systems to generate summaries, headlines, classifications or other outputs from regulatory announcements or other source material (AI Summaries).

(b)

AI Summaries are produced automatically and may contain errors, omissions, inaccuracies, outdated information or interpretations that do not reflect the full context or significance of the source material.

(c)

An AI Summary is provided for convenience only. It is not a substitute for reading the original source material and does not constitute investment advice, a recommendation or an assessment of the merits of an issuer or security.

(d)

Where a source link is provided, you should review that source before relying on an AI Summary. If there is any inconsistency between an AI Summary and its source material, the source material prevails.

(e)

We may correct, regenerate, label, restrict or remove an AI Summary at any time, including where we become aware of an error or source correction.

8USER CONTENT AND COMMUNITY FEATURES

8.1POSTED MATERIAL

(a)

Any information, comments, opinions, links, images, documents, research, profile information or other material that you submit, post, upload or publish through the Platform is Posted Material.

(b)

You retain ownership of Intellectual Property Rights you have in your Posted Material. By posting it, you grant us a non-exclusive, worldwide, royalty-free and sublicensable licence to host, store, reproduce, display, communicate, format and otherwise use the Posted Material to operate, secure, moderate, improve and provide the Platform and to comply with law.

(c)

The licence in clause 8.1(b) continues for as long as the Posted Material remains on the Platform and for a reasonable period afterwards in backups, moderation records, legal records or other systems where continued retention is reasonably required. This does not permit us to sell your Posted Material as a standalone work without your consent.

8.2YOUR WARRANTIES ABOUT POSTED MATERIAL

By submitting Posted Material, you represent and warrant that:

(a)

you have the rights and permissions necessary to submit it and to grant the licence in these Terms;

(b)

any statement of fact you make is, to the best of your knowledge, accurate and not misleading;

(c)

any opinion you express is genuinely held by you;

(d)

you clearly disclose any commercial, employment, advisory, brokerage, shareholding or other relationship where disclosure is required by law, these Terms, the Community Guidelines or the context of the post;

(e)

your Posted Material does not infringe another person's Intellectual Property Rights, privacy rights, confidentiality rights or other legal rights; and

(f)

your Posted Material complies with applicable law and these Terms.

8.3PROHIBITED CONTENT AND CONDUCT

You must not use the Platform to post, promote, facilitate or engage in content or conduct that:

(a)

is unlawful, fraudulent, defamatory, threatening, harassing, hateful, discriminatory, obscene or otherwise prohibited by any Community Guidelines;

(b)

knowingly or recklessly contains false or misleading information about an issuer, security, market, financial service or another person;

(c)

impersonates an issuer, director, broker, analyst, publisher, regulator or other person or falsely claims authority or affiliation;

(d)

constitutes or facilitates a scam, fraud, deceptive scheme, unlawful financial promotion or other unlawful financial activity;

(e)

constitutes, encourages or facilitates market manipulation, coordinated misleading activity or conduct intended to create a false or misleading impression as to a security or market;

(f)

discloses confidential information, inside information or other information which you are not lawfully entitled to disclose;

(g)

is paid, sponsored or commissioned content without making any disclosure required by law, these Terms or our Community Guidelines;

(h)

contains malware, malicious code, phishing links or material intended to compromise another person's account, device or data;

(i)

infringes Intellectual Property Rights or other rights of any third party;

(j)

attempts to evade or interfere with moderation, reporting, account restrictions or security controls; or

(k)

constitutes a financial promotion or other communication relating to an investment or financial service unless you are legally entitled to communicate that content through the Platform and have complied with all applicable laws, approvals, exemptions, disclosures and other regulatory requirements. If we request it, you must promptly provide reasonable evidence demonstrating that the communication may lawfully be made.

8.4COMMUNITY GUIDELINES

(a)

You must comply with any Community Guidelines that are in effect from time to time. The Community Guidelines may contain further rules about acceptable behaviour, financial discussions, conflicts, disclosures, moderation and reporting.

8.5MODERATION, REPORTING AND REMOVAL

(a)

We are not required to pre-screen every item of Posted Material and do not guarantee that all unlawful, misleading, inaccurate or objectionable content will be identified or removed.

(b)

We may review, investigate, label, restrict distribution of, preserve, remove or disable access to Posted Material where we reasonably consider this necessary to enforce these Terms or the Community Guidelines, protect users or the Platform, comply with law or a regulatory requirement, investigate suspected misconduct, or respond to a complaint or third-party request.

(c)

We may suspend, restrict or terminate Accounts in accordance with clause 18. Where appropriate, we may preserve information and cooperate with regulators, law enforcement, exchanges, data providers or other competent authorities.

(d)

Users may report content using the reporting tools or contact details made available on the Platform. We may request further information before acting on a report.

8.6COMPLAINTS ABOUT CONTENT AND MODERATION

(a)

You may submit a complaint using the reporting tools or contact details made available on the Platform if you believe that:

(i)

Posted Material is unlawful or otherwise breaches these Terms or the Community Guidelines;

(ii)

we have incorrectly removed, restricted, labelled or otherwise moderated your Posted Material;

(iii)

we have incorrectly suspended, restricted or terminated your Account in connection with Posted Material;

(iv)

we have failed to take appropriate action following a report made by you; or

(v)

another matter relating to content or moderation is capable of being complained about under applicable law.

(b)

We may request additional information reasonably necessary to assess a complaint.

(c)

We will consider complaints in accordance with any procedures we make available on the Platform and any requirements imposed on us by applicable law.

(d)

We do not guarantee that a complaint will result in content being removed, restored or otherwise dealt with in the manner requested by the person making the complaint.

(e)

Nothing in this clause limits our right to take immediate action under these Terms where we reasonably consider that doing so is necessary to protect users or the Platform, prevent unlawful activity, comply with law or respond to a material legal, regulatory or security risk.

9ISSUER ACCOUNTS

9.1VERIFICATION AND AUTHORITY

(a)

If you create, claim or manage an Issuer Account, you represent and warrant that you are authorised by the relevant issuer to do so and to bind that issuer to these Terms.

(b)

We may require corporate, identity, role or other verification information before approving or maintaining an Issuer Account. You must promptly tell us if your authority changes or ends.

(c)

A verification badge or similar status means only that we have completed the verification process we choose to apply. It is not an endorsement or investment recommendation.

9.2ISSUER CONTENT

(a)

An issuer is solely responsible for content published through its Issuer Account and for ensuring that the content is accurate, current, not misleading, authorised for publication and compliant with applicable law and regulatory requirements.

(b)

An Issuer Account is an additional communication channel only. It is not a substitute for any announcement, disclosure or filing that an issuer is required to make through an exchange, regulatory information service or other prescribed channel.

(c)

You must not use an Issuer Account to publish information on the Platform before making any formal disclosure that is required to be made first through another channel.

(d)

We may delay, label, restrict or remove issuer content where we reasonably consider that its publication may be unlawful, misleading, inconsistent with these Terms or Community Guidelines, or may expose the Platform or users to legal or regulatory risk.

(e)

If you become aware that content published through an Issuer Account contains a material error or omission, has become materially inaccurate or misleading, or requires correction as a result of a subsequent announcement or event, you must promptly correct or update the content where the Platform allows you to do so or otherwise notify us so that appropriate action can be taken.

10PUBLISHERS, RESEARCH PROVIDERS AND MEDIA ACCOUNTS

10.1PUBLISHER RESPONSIBILITIES

(a)

If you publish or link research, articles, commentary or other content through a Publisher Account, you are responsible for that content and represent and warrant that you have all necessary rights and permissions to publish or link it through the Platform.

(b)

You must take reasonable care to ensure that factual statements are accurate at the time of publication, opinions are genuinely held and content is not misleading by omission or presentation.

(c)

You are responsible for complying with laws, professional standards and regulatory requirements that apply to you or your content, including any requirements relating to investment recommendations, research, financial promotions, advertising or conflicts of interest.

(d)

If you become aware that content published or linked through your Publisher Account contains a material error or omission, has become materially inaccurate or misleading, or requires a correction or clarification, you must promptly correct or update the content where the Platform allows you to do so or otherwise notify us so that appropriate action can be taken.

10.2RELATIONSHIP AND CONFLICT DISCLOSURES

(a)

Where relevant, you must clearly identify whether content is independent, commissioned by an issuer, produced by a corporate broker, sponsored, paid for or subject to another material commercial relationship.

(b)

Any required relationship or conflict disclosure must be made prominently in connection with the relevant item of content and not merely on a general profile page where that would make the disclosure unclear or difficult to find.

10.3THIRD-PARTY RESEARCH

(a)

Research and media content remains the responsibility of the relevant publisher or author. We do not produce or adopt third-party research merely by hosting a summary, displaying an extract or linking to it.

(b)

Where full research is purchased or accessed on a third-party website, the transaction and access arrangements are between you and that third party. We are not responsible for the third-party site, its content or any purchase made through it.

11ADVERTISING, SPONSORED CONTENT AND PAID PLACEMENTS

(a)

The Platform may contain advertising, sponsored content, paid placements or other commercial communications. We will use labels or other presentation intended to distinguish commercial content from ordinary editorial, research, issuer or community content.

(b)

The appearance of an advertisement, sponsored item or paid placement does not constitute our endorsement or recommendation of the advertiser, issuer, security, product, service or content.

(c)

These Terms do not by themselves give any user a right to purchase or publish advertising, sponsored content or paid placements. Advertisers and sponsors may be required to enter into a separate agreement with us and satisfy any applicable approval, verification, labelling or compliance requirements.

12INTELLECTUAL PROPERTY AND USE RESTRICTIONS

12.1OUR RIGHTS

(a)

We or our licensors own all Intellectual Property Rights in the Platform and Platform Content, excluding Posted Material owned by users and third-party material owned by the relevant third party.

(b)

Except for the limited right to use the Platform granted under these Terms, no Intellectual Property Rights are transferred to you.

12.2RESTRICTIONS

Unless permitted by law or expressly authorised by us in writing, you must not:

(a)

copy, reproduce, republish, distribute, sell, sublicense or commercially exploit the Platform or Platform Content;

(b)

scrape, crawl, index, systematically extract or use automated means to collect Platform Content, Market Data, user data or other information from the Platform;

(c)

reverse engineer, decompile, disassemble or attempt to derive source code from the Platform;

(d)

circumvent security, access, rate-limit, paywall or technological protection measures;

(e)

use the Platform or Platform Content to create or improve a competing product, dataset or service without our written consent;

(f)

remove or alter copyright, trade mark, attribution, source or proprietary notices; or

(g)

use Centri Markets names, logos or trade marks in a way that suggests sponsorship, endorsement or affiliation without our written consent.

12.3FEEDBACK

(a)

If you voluntarily provide ideas, suggestions or feedback about the Platform, you grant us a non-exclusive, worldwide, perpetual and royalty-free right to use that feedback to develop and improve our products and services without payment to you.

13PRIVACY, DATA PROTECTION AND COMMUNICATIONS

13.1PRIVACY

(a)

We process personal data in accordance with our Privacy Policy and applicable Data Protection Legislation. The Privacy Policy explains the categories of personal data we collect, the purposes and lawful bases for processing, retention, disclosures, international transfers and your rights.

(b)

We generally act as a controller in relation to personal data used to operate Accounts, the community, verification, analytics, communications, security, moderation and other Platform functions for which we determine the purposes and means of processing.

(c)

If a business feature requires us to process personal data solely on a customer's documented instructions as a processor, we may require the parties to enter into separate data processing terms before that processing begins.

(d)

Acceptance of these Terms does not constitute blanket consent to all processing of personal data. Where consent is required by Data Protection Legislation or electronic communications law, we will seek it separately where appropriate.

(e)

Further information about our use of cookies, pixels and similar technologies is available in our Cookies Policy. Acceptance of these Terms does not constitute consent to the use of any technology for which separate consent is required by applicable law.

13.2ALERTS AND COMMUNICATIONS

(a)

You may be able to configure watchlists, alerts and other service communications. You are responsible for choosing your alert preferences and should not rely on an alert as the sole or definitive means of learning about a market event or regulatory announcement.

(b)

Operational and service communications may be sent where reasonably necessary to administer your Account. Marketing communications will be handled in accordance with applicable law and the preferences or choices made available to you.

13.3BUSINESS CONFIDENTIALITY

(a)

This clause 13.3 applies where you are a Business User.

(b)

Each party must keep confidential any information disclosed by or on behalf of the other party that:

(i)

is identified as confidential;

(ii)

is confidential by its nature; or

(iii)

the recipient reasonably ought to understand is confidential,

including non-public commercial, financial, technical, pricing, verification and business information (Confidential Information).

(c)

A party receiving Confidential Information must:

(i)

use it only for the purposes of exercising its rights or performing its obligations in connection with the Platform;

(ii)

take reasonable steps to protect it from unauthorised access, use or disclosure; and

(iii)

disclose it only to its employees, contractors, professional advisers or other persons who need to know it for those purposes and who are subject to appropriate confidentiality obligations.

(d)

Confidential Information does not include information that the receiving party can demonstrate:

(i)

is or becomes publicly available other than through a breach of this clause;

(ii)

was lawfully known to it without an obligation of confidence before disclosure;

(iii)

is lawfully received from a third party without an obligation of confidence; or

(iv)

is independently developed without use of the other party's Confidential Information.

(e)

A party may disclose Confidential Information to the extent required by law, a court, regulator, exchange or other competent authority, provided that, where legally permitted and reasonably practicable, it gives the other party reasonable notice before making the disclosure.

(f)

This clause continues to apply after termination of an Account or these Terms for so long as the relevant information remains confidential.

14FEES, PAID ACCOUNTS AND RENEWALS

14.1FEES

(a)

If you select a paid Account Tier (Paid Account), you must pay the fees displayed on the Website or otherwise agreed with us when you subscribe (Fees). Unless stated otherwise, Fees are payable in advance.

(b)

The Website or order process will state the applicable billing frequency, initial term, minimum commitment, renewal arrangement and any other material payment terms for a Paid Account. Those commercial details form part of these Terms.

(c)

Unless stated otherwise, Fees exclude VAT or other applicable taxes, which will be charged where required by law. Where VAT is chargeable, VAT will be added to the Fees at the applicable rate and must be paid by you in addition to the Fees.

14.2MONTHLY AND ROLLING PAID ACCOUNTS

(a)

Where a Paid Account is described as monthly or rolling, it will renew for successive billing periods until cancelled in accordance with the cancellation method and notice requirements displayed when you subscribe.

(b)

Cancellation of a monthly or rolling Paid Account ordinarily takes effect at the end of the current paid billing period unless the Website or applicable law provides otherwise. Fees already paid for that period are not refundable merely because you stop using the Platform before the end of the period.

14.3FIXED-TERM BUSINESS ACCOUNTS

(a)

If you subscribe for a discounted or otherwise agreed fixed-term Paid Account in the course of business, the minimum term shown when you subscribe is binding. You may not terminate that minimum term for convenience unless the Website, an order form or these Terms expressly allow it.

(b)

Fees for a fixed-term Business Account remain payable for the agreed minimum term and, except where these Terms, applicable law or our material breach gives you a right to a refund, prepaid Fees are non-refundable.

14.4RENEWAL AND FEE CHANGES

(a)

If a Paid Account is set to renew automatically, the renewal period, applicable Fees and cancellation deadline will be displayed before you subscribe and may also be shown in your Account. We may send renewal or reminder notices where required by law or where we choose to do so.

(b)

We may introduce Fees for an Account Tier, feature or service that was previously provided free of charge. If we do so, we will give affected users reasonable advance notice of:

(i)

the Fees that will apply;

(ii)

the date from which the Fees will apply;

(iii)

the applicable billing period, minimum term and renewal arrangements; and

(iv)

how to subscribe for continued access or, where applicable, cancel or close the Account.

(c)

Unless you have expressly agreed in advance to an introductory or free period that converts to a Paid Account on clearly disclosed terms, we will not charge you for an Account or feature that was previously free without first obtaining your agreement to the applicable Fees and payment terms.

(d)

If an Account Tier or material feature ceases to be available free of charge and you do not subscribe for the applicable Paid Account by the date notified to you, we may restrict or discontinue your access to that Account Tier or feature. You may close your Account if you do not wish to subscribe.

(e)

Where you expressly agree when subscribing that an introductory or free period will automatically convert to a Paid Account, the Fees will become payable at the end of that introductory or free period in accordance with the terms disclosed to you when you subscribed and subject to any cancellation, reminder or other rights required by applicable law.

(f)

We may change Fees applying to a Paid Account for a future renewal period by giving reasonable advance notice. A Fee change will not increase the price payable for a fixed minimum term already purchased unless expressly agreed with you.

(g)

If you do not agree to a Fee increase applying on renewal, you may cancel renewal before the new Fee takes effect in accordance with the cancellation method notified to you.

14.5PAYMENT PROCESSING

(a)

We may use a third-party payment processor. Your payment may also be subject to the processor's terms and privacy information. We are not responsible for a payment processor's acts or omissions except to the extent that applicable law provides otherwise.

(b)

We may suspend access to paid features if a payment is overdue or cannot be collected, after giving any notice required by law or these Terms.

15CONSUMER RIGHTS

(a)

If you use the Platform wholly or mainly outside your trade, business, craft or profession, you are a Consumer for the purposes of these Terms.

(b)

Nothing in these Terms excludes or restricts any statutory right or remedy that cannot lawfully be excluded or restricted, including rights under applicable UK consumer protection law.

(c)

Any exclusion or limitation of liability, cancellation restriction, non-refund provision or other term in this agreement applies to a Consumer only to the extent permitted by law.

(d)

If we offer a paid Account Tier to Consumers, any mandatory pre-contract information, cancellation rights and other consumer-specific information displayed during the purchase process will form part of these Terms. If there is a conflict, the mandatory consumer information will prevail to the extent required by law.

(e)

If you are a Consumer and we make a material change to these Terms or a Paid Account that materially disadvantages you during a paid term, you may have a right to cancel or another remedy as required by applicable law.

16WARRANTIES AND LIABILITY

16.1SERVICE LIMITATIONS

(a)

To the maximum extent permitted by law, the Platform is provided on an as-available basis. We do not guarantee that the Platform, Market Data, AI Summaries, Posted Material or third-party content will be uninterrupted, complete, current, error-free, secure or suitable for any particular purpose.

(b)

Nothing in these Terms limits liability for fraud or fraudulent misrepresentation, death or personal injury caused by negligence, or any other liability that cannot lawfully be limited or excluded.

16.2BUSINESS USERS

(a)

This clause 16.2 applies where you use the Platform in the course of a trade, business, craft or profession (Business User).

(b)

Subject to clause 16.1(b), we are not liable to a Business User for any indirect or consequential loss, or for loss of profit, revenue, business, anticipated savings, opportunity, goodwill or data arising out of or in connection with the Platform or these Terms.

(c)

Subject to clause 16.1(b), our total aggregate liability to a Business User arising out of or in connection with the Platform and these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed:

(i)

the total Fees paid or payable by that Business User to us during the 3 months immediately preceding the event giving rise to the claim; or

(ii)

if the Business User has used only a free Account during that period, £1,000.

(d)

The limitations in this clause are intended to allocate commercial risk between us and Business Users and apply only to the extent permitted by applicable law.

16.3CONSUMERS

(a)

If you are a Consumer, nothing in these Terms excludes or limits our liability:

(i)

for death or personal injury caused by our negligence;

(ii)

for fraud or fraudulent misrepresentation;

(iii)

for breach of any statutory right or obligation to the extent that liability for that breach cannot lawfully be excluded or limited, including any applicable obligation to provide services with reasonable care and skill; or

(iv)

for any other liability which cannot lawfully be excluded or limited.

(b)

Subject to clause 16.3(a), we will not be liable to you for:

(i)

any loss or damage that was not reasonably foreseeable at the time you accepted these Terms;

(ii)

any loss or damage caused by circumstances outside our reasonable control;

(iii)

any loss or damage caused or contributed to by your breach of these Terms, misuse of the Platform or failure to follow reasonable instructions or warnings provided by us; or

(iv)

any business loss, including loss of profit, revenue, business, opportunity, anticipated savings or business interruption.

(c)

Subject to clause 16.3(a), our total aggregate liability to you arising out of or in connection with the Platform or these Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, will not exceed the greater of:

(i)

£1,000; and

(ii)

the total Fees paid or payable by you to us during the 12 months immediately preceding the event giving rise to the claim.

(d)

The limitations in this clause 16.3 apply only to the extent permitted by applicable consumer protection law and do not affect any statutory right or remedy that you are entitled to exercise against us.

16.4INVESTMENT AND THIRD-PARTY LOSSES

(a)

Subject always to liability that cannot lawfully be excluded, we are not responsible for investment or trading losses arising from a decision you make based on Market Data, AI Summaries, Posted Material, issuer content, research, advertising, alerts or other information on the Platform where those losses result from your independent investment decision rather than our breach of a legal duty owed to you.

(b)

We are not responsible for the acts, omissions, advice, products, services or content of a broker, issuer, publisher, research provider, advertiser, payment provider or other third party merely because that third party or its content is accessible through the Platform.

16.5BUSINESS USER INDEMNITY

(a)

If you are a Business User, you indemnify us against third-party claims, losses, damages, liabilities and reasonable legal costs arising from your Posted Material or from your material breach of clauses 8, 9, 10 or 12, except to the extent caused or contributed to by our breach of these Terms or negligence.

17SECURITY AND DATA HOSTING

(a)

We may host the Platform and data using cloud and other third-party infrastructure in the United Kingdom or other locations, subject to our Privacy Policy and applicable Data Protection Legislation.

(b)

We will use reasonable technical and organisational measures appropriate to the nature of the Platform and the risks involved, but no online service can guarantee absolute security.

(c)

You are responsible for maintaining appropriate security for your own devices, systems and Account credentials and for keeping copies of content that you need independently of the Platform.

(d)

If you discover a security vulnerability, suspected compromise or misuse affecting the Platform, you must report it using the contact details on the Website and must not exploit or publicly disclose it in a way that creates additional risk.

18SUSPENSION, CANCELLATION AND TERMINATION

18.1CANCELLATION BY YOU

(a)

You may close a free Account at any time using the functionality made available on the Platform or by contacting us.

(b)

A Paid Account may be cancelled in accordance with clause 14, the commercial terms displayed when you subscribed and any rights you have under applicable law.

18.2SUSPENSION OR TERMINATION BY US

(a)

We may suspend, restrict or terminate access to all or part of the Platform where:

(i)

you materially breach these Terms or the Community Guidelines;

(ii)

your Account or Posted Material presents a security, fraud, legal, regulatory or material reputational risk to the Platform or other users;

(iii)

we reasonably suspect unlawful activity, market manipulation, impersonation, misuse of inside information or another serious breach;

(iv)

we are required to do so by law, court order, regulator, exchange, data provider or other competent authority;

(v)

payment due for a Paid Account remains overdue; or

(vi)

we discontinue the Platform or a material service. If we permanently discontinue a material feature or service forming part of a Paid Account before the end of a prepaid period and do not provide a reasonably equivalent replacement, we will provide any notice required by applicable law and, where appropriate, refund the proportion of any prepaid Fees attributable to the period after the discontinuation takes effect.

(b)

Where appropriate and reasonably practicable, we will give notice and an opportunity to remedy a breach before terminating an Account. We may act immediately where the breach is serious, cannot be remedied, or delay would create material risk.

18.3EFFECT OF TERMINATION

(a)

When an Account ends, your right to use account-restricted features ends. Clauses which by their nature are intended to continue, including provisions relating to intellectual property, liability, confidentiality, payment obligations and dispute resolution, continue to apply.

(b)

We may delete or retain Account data and Posted Material after termination in accordance with our Privacy Policy, legal obligations, moderation and security requirements and our ordinary backup processes.

(c)

If functionality is available to export content or data you wish to retain, you should do so before closing your Account. We do not guarantee that deleted Account content can be recovered.

19CHANGES TO THE PLATFORM AND THESE TERMS

(a)

We may update the Platform and these Terms from time to time to reflect changes to features, technology, security, third-party services, commercial arrangements, law, regulatory requirements or our business operations.

(b)

For minor, beneficial, technical or legally required changes that do not materially disadvantage you, we may make the change by publishing the updated Terms and identifying the date they take effect.

(c)

If we make a material change that materially affects your rights or obligations, we will give reasonable advance notice by email, in-app notice or another appropriate method, unless an urgent legal, regulatory or security reason requires an earlier change.

(d)

A change to these Terms will not retrospectively increase Fees or remove a right that has already accrued.

(e)

If you are a Consumer with a Paid Account and we make a discretionary material change during a paid term that materially disadvantages you, other than a change reasonably necessary to comply with law, regulation, security requirements or circumstances outside our reasonable control, you may cancel the affected Paid Account before the change takes effect. Where you have prepaid Fees for a period extending beyond the date cancellation takes effect, we will provide an appropriate pro-rata refund for the unused part of that period.

(f)

Subject to clause 19(e) and any rights you have under applicable law, your continued use of the Platform after an updated version of these Terms takes effect constitutes acceptance of the updated Terms.

20COMPLAINTS AND DISPUTES

(a)

If you have a complaint or dispute about the Platform, please contact us first using the details on the Website so that we have an opportunity to resolve it.

(b)

If you are a Business User and a dispute cannot be resolved through good-faith discussions, either party may propose mediation through the Centre for Effective Dispute Resolution (CEDR) before commencing substantive court proceedings. This does not prevent either party seeking urgent injunctive or protective relief.

(c)

Nothing in this clause requires a Consumer to participate in paid mediation or limits any right a Consumer has to bring a claim before a court or use an applicable alternative dispute resolution process.

21GENERAL

21.1GOVERNING LAW AND JURISDICTION

(a)

These Terms and any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with them are governed by the laws of England and Wales.

(b)

If you are a Business User, the courts of England and Wales have exclusive jurisdiction. If you are a Consumer, this clause does not deprive you of any mandatory right to bring proceedings in another court available to you under applicable law.

21.2NOTICES

(a)

We may send notices to the email address associated with your Account, through the Platform or by another contact method you have provided. You must keep your contact information current.

(b)

A notice to us must be sent using the contact details specified on the Website unless these Terms state otherwise.

21.3ASSIGNMENT

(a)

You must not assign, transfer or otherwise deal with your rights or obligations under these Terms without our prior written consent, except where applicable law gives you a right to do so.

(b)

We may assign or transfer our rights and obligations under these Terms as part of a reorganisation, sale, merger or transfer of the Platform or our business, provided that doing so does not reduce a Consumer's mandatory rights.

21.4THIRD-PARTY RIGHTS

(a)

Except where these Terms expressly state otherwise, a person who is not a party to these Terms has no right under the Contracts (Rights of Third Parties) Act 1999 to enforce any term of them.

21.5SEVERANCE

(a)

If any provision of these Terms is found to be invalid or unenforceable, it will be treated as modified to the minimum extent necessary to make it valid and enforceable, or severed if modification is not possible, without affecting the remaining provisions.

21.6WAIVER

(a)

A failure or delay by either party to exercise a right under these Terms does not waive that right. A waiver is effective only if made in writing by the party granting it.

21.7ENTIRE AGREEMENT

(a)

If you are a Business User, these Terms and any commercial terms expressly incorporated into them constitute the entire agreement between you and us concerning the Platform and supersede prior discussions or understandings relating to that subject matter. Nothing in this clause limits liability for fraud or fraudulent misrepresentation.

(b)

If you are a Consumer, this clause does not exclude statements or information that applicable consumer law requires us to provide or treat as binding.

21.8FORCE MAJEURE

(a)

We are not liable for delay or failure to perform an obligation to the extent caused by an event beyond our reasonable control, including failure of telecommunications, exchange or market-data infrastructure, widespread internet or cloud outages, cyber incidents not caused by our failure to use reasonable care, natural disasters, war, civil disorder, industrial action or governmental action. This clause does not affect liability that cannot lawfully be excluded.
